Ticket Tax Terms

The Ticket
Tax Terms (“Tax Terms”) are supplemental to, and incorporated into, the LiveNyte Terms of Service. By creating and publishing
tickets for sale through LiveNyte’s Services, you
agree to these Tax Terms in addition to the Terms of Service. Capitalized terms
not defined here have the meanings given to them in the Terms of Service. You must review and accept these Tax Terms before publishing any
tickets for sale through the Services.
1. RESPONSIBILITY FOR TAXES
If you are a
Business, Creator, or other seller of tickets through our Services, you are
solely responsible for:
· Setting the correct tax rates
on each ticket you publish; and
· Collecting, reporting, and
remitting such Taxes to the appropriate tax authority in a timely manner.
If no Taxes apply,
you are responsible for accurately designating the transaction as tax-exempt
and maintaining documentation to support that status. You must also retain complete and accurate records related to
your ticket sales and Taxes, including documentation of any tax-exempt
transactions, for at least three (3) years from the date of each transaction,
or longer if required by applicable law. Such records must be made available,
in electronic or physical form, to the appropriate tax authority or to LiveNyte upon reasonable request in connection with any
audit, investigation, or inquiry.
LiveNyte does not provide tax advice
and is not responsible for the determination, collection, reporting, or
remittance of any Taxes on your behalf. You should consult your own tax, legal,
and accounting advisors to ensure compliance with all applicable tax laws and
regulations.
2. ADDING TAXES TO TICKETS
You may add
any required Taxes to your ticket prices during ticket setup. You must confirm
all tax rates and amounts before publishing a ticket, as they cannot be changed
for tickets already sold. You are solely responsible for ensuring that any
Taxes you add are correct before publishing the ticket for sale.
3. NO LIABILITY
You
acknowledge and agree that LiveNyte is not liable
for:
· Any failure by you to
determine, collect, report, or remit applicable Taxes; or
· Any penalties, interest,
fines, or other costs arising from such failure.
You
further agree to indemnify and hold harmless LiveNyte,
Inc., its officers, directors, employees, and agents from any claims,
liabilities, damages, losses, and expenses (including reasonable attorneys’
fees) arising out of or related to your tax obligations in connection with
ticket sales, including any investigations, audits, inquiries, enforcement
actions, or information requests by any tax authority or governmental agency.
4. UPDATES TO TAX TERMS
LiveNyte may update these Tax Terms at any time by posting the revised version on our Website or App, with the “last updated” date displayed at the top of the page, and notifying sellers via in-app message or email. Unless otherwise stated, such updates are effective immediately upon posting. If you continue to sell tickets through the Services after such updates, you agree to the revised Tax Terms. If you do not agree to the updated Tax Terms, you must cease selling tickets through the Services.
5. VERSION TRACKING & ACCEPTANCE
When you
accept these Tax Terms, LiveNyte records the date,
time, your user account, and the version number of the Tax Terms you accepted.
This record is maintained as evidence of your agreement. If these Tax Terms are
updated, you will be required to review and accept the updated version before
you can continue selling tickets. Your continued use of the Services to sell
tickets after accepting an updated version constitutes your binding agreement
to that version.
6. GOVERNING LAW
These Ticket Tax Terms, and any dispute arising out of or
relating to them, are governed by and construed in accordance with the laws of
the State of California, without regard to its conflict of laws principles. You
agree to submit to the exclusive jurisdiction of the state and federal courts
located in California for the resolution of any disputes arising from or
relating to these terms.
7. SURVIVAL
Your obligations under these Tax Terms, including but not
limited to your indemnification obligations in Section 3, shall survive and
remain in effect following the termination or expiration of these Tax Terms,
the termination or suspension of your account, or your cessation of use of the
Services.
